These Terms of Service ("Terms") form a legally binding agreement between GreenLeaf Technology Solutions Limited ("GreenLeaf", "we", "us", or "our") and the company or individual ("Client", "you", or "your") accessing or using the PayGO solar management platform, including all related web applications, mobile applications, APIs, and Cloud Functions (collectively, the "Platform").
By creating an account, clicking "Accept", or otherwise using the Platform, you confirm that you have read, understood, and agreed to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
1. Definitions
- Platform — the PayGO web dashboard, mobile app (PayGO Touch), REST API, Firebase Cloud Functions, and any associated tools provided by GreenLeaf.
- Tenant — a solar energy company or organisation that subscribes to the Platform and manages its own customers and devices.
- End Customer — a person who purchases a solar device on a PAYG basis from a Tenant and whose data is managed through the Platform.
- User — an individual (employee, agent, technician, or sales representative) authorised by a Tenant to access the Platform.
- OpenPAYGO Token — a time-limited activation code generated in compliance with the OpenPAYGO Token standard and delivered to End Customers to enable device use.
- dMRV — Digital Monitoring, Reporting and Verification workflow used to document solar device installations for compliance and carbon credit purposes.
2. Account Registration and Access
2.1 Eligibility
You must be a registered business entity or an authorised representative of one to subscribe to the Platform as a Tenant. Individual user accounts are created by Tenant administrators and are subject to these Terms.
2.2 Account Security
You are responsible for maintaining the confidentiality of login credentials. You must notify GreenLeaf immediately at support@greenleaf.co.tz if you suspect unauthorised access. GreenLeaf is not liable for losses resulting from unauthorised use of credentials where you have failed to take reasonable security precautions.
2.3 Accurate Information
You agree to provide accurate, current, and complete information when registering and to keep it updated. GreenLeaf may suspend or terminate accounts where information is found to be false or misleading.
3. Permitted Use
The Platform is licensed, not sold. Subject to your compliance with these Terms and timely payment of applicable fees, GreenLeaf grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business operations in connection with PAYG solar device management.
You agree not to:
- Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
- Resell, sublicense, or provide access to the Platform to third parties without prior written consent.
- Use the Platform to store or transmit unlawful, defamatory, or infringing content.
- Attempt to gain unauthorised access to other Tenants' data or systems.
- Interfere with, disrupt, or degrade the performance of the Platform or its underlying infrastructure.
- Use automated bots or scrapers against the Platform's APIs beyond documented rate limits.
- Use the Platform for any purpose other than legitimate PAYG solar device management.
4. Subscription, Fees, and Payment
4.1 Plans and Pricing
Access to the Platform is provided on a subscription basis. Current plans and pricing are published on the PayGO website. GreenLeaf reserves the right to change pricing with at least 30 days' written notice.
4.2 Billing
Subscription fees are billed monthly or annually in advance as agreed in your order form. Invoices are sent to the billing email on record. Fees are non-refundable except as expressly stated herein.
4.3 Late Payment
Accounts with overdue balances of more than 14 days may be suspended. Suspended accounts retain their data for 30 days, after which GreenLeaf may delete the data. GreenLeaf may charge interest on overdue amounts at the rate of 1.5% per month.
4.4 Taxes
All fees are exclusive of applicable taxes (including VAT and withholding tax). You are responsible for any taxes, duties, or levies imposed by applicable law.
5. Data Ownership and Responsibilities
5.1 Your Data
You retain ownership of all data you upload to the Platform, including End Customer records, payment records, device data, and dMRV evidence ("Client Data"). You grant GreenLeaf a limited licence to process Client Data solely to provide the Platform services.
5.2 Your Obligations
You are solely responsible for obtaining all necessary consents from End Customers before collecting and processing their personal data through the Platform. You warrant that your use of the Platform complies with the Tanzania Personal Data Protection Act, 2022 and any other applicable data protection laws.
5.3 Data Accuracy
GreenLeaf is not responsible for the accuracy, completeness, or legality of Client Data entered into the Platform. Token generation and REA reporting outputs are only as accurate as the data you provide.
6. OpenPAYGO Tokens
The Platform generates OpenPAYGO Tokens based on device configuration data (starting code, secret key, token counter) that you provide. You are responsible for ensuring the accuracy of this configuration. GreenLeaf is not liable for device malfunctions, revenue loss, or End Customer disputes arising from incorrect device configuration data entered by you.
7. Third-Party Integrations
The Platform may integrate with third-party services including mobile money providers (Vodacom M-Pesa, Airtel Money, Tigo Pesa), SMS gateways (Africa's Talking), the REA Prospect API, and Firebase services. GreenLeaf does not control these third-party services and is not liable for their availability, performance, or changes to their terms. Your use of integrated third-party services is subject to those providers' own terms and conditions.
8. Service Availability and Support
8.1 Uptime
GreenLeaf targets 99.5% monthly uptime for core Platform services, excluding scheduled maintenance windows (notified at least 24 hours in advance) and events beyond our reasonable control.
8.2 Support
Business hours support (Monday–Friday, 08:00–17:00 EAT) is provided via email at support@greenleaf.co.tz. Premium support plans with extended hours and response SLAs are available on request.
9. Intellectual Property
The Platform, including its software, design, algorithms (including the OpenPAYGO token engine implementation), documentation, and branding, is owned by GreenLeaf or its licensors and is protected by copyright, trade secret, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.
The OpenPAYGO Token standard is an open standard developed by Engy-Africa and Solaris Offgrid and is used under its open-source licence terms.
10. Confidentiality
Each party agrees to keep confidential the other party's non-public business information disclosed in connection with the Platform ("Confidential Information"), and not to disclose it to third parties without prior written consent except as required by law. This obligation survives termination of these Terms for a period of 3 years.
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENLEAF DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GREENLEAF DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENLEAF'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT WILL GREENLEAF BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify, defend, and hold harmless GreenLeaf and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of applicable law; or (c) your processing of End Customer data in breach of data protection obligations.
14. Term and Termination
14.1 Term
These Terms remain in effect for the duration of your subscription and any renewal periods.
14.2 Termination by You
You may cancel your subscription at any time by notifying GreenLeaf in writing. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of a prepaid period.
14.3 Termination by GreenLeaf
GreenLeaf may terminate or suspend your account immediately upon written notice if you: materially breach these Terms and fail to cure within 14 days of notice; become insolvent; or use the Platform for unlawful purposes.
14.4 Effect of Termination
Upon termination, your access to the Platform ceases. GreenLeaf will make Client Data available for export for 30 days following termination, after which it may be permanently deleted. Provisions that by their nature survive termination (including Sections 5, 9, 10, 11, 12, 13, and 16) will remain in effect.
15. Changes to These Terms
GreenLeaf may update these Terms from time to time. We will notify you of material changes by email or in-Platform notice at least 14 days before the changes take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United Republic of Tanzania. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation. If not resolved within 30 days, the dispute shall be submitted to binding arbitration in Dar es Salaam, Tanzania, under the Arbitration Act, Cap. 15. Nothing prevents either party from seeking urgent injunctive relief from a competent court.
17. General
- Entire Agreement. These Terms, together with any order forms, constitute the entire agreement between the parties regarding the Platform and supersede all prior agreements.
- Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver. Failure to enforce any provision does not constitute a waiver of future enforcement rights.
- Assignment. You may not assign these Terms without GreenLeaf's prior written consent. GreenLeaf may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Neither party is liable for delays or failures caused by events beyond their reasonable control, including natural disasters, power outages, or government actions.
- Language. These Terms are written in English. In the event of any conflict with a translated version, the English version prevails.
